Company Assist Limited – Terms and Conditions
The price payable for any product or service will be the amount displayed at the time your order is placed or the price otherwise agreed with you before your order is accepted.
We are not currently registered for VAT. The price displayed is the total amount payable and no VAT is added to it. Should we become VAT registered in future, we will update these terms and the prices shown on the website before any VAT is charged.
Payment is generally required before work begins.
For subscription or recurring services, payments will be collected at the intervals specified when you purchase the service.
Failure to make payment may result in suspension or cancellation of the relevant service.
Some services require payment of statutory or government filing fees.
Unless expressly stated otherwise, these fees are payable in addition to our service charges.
Where government authorities increase statutory filing fees before your application is submitted, we reserve the right to recover the additional amount from you.

Where we assist with VAT registration:
If payment for renewal of your Registered Office Address Service has not been received by the renewal date, or if you fail to provide any required identification documents, you authorise us to immediately update the registered office address of the relevant company to your residential address or another address previously supplied by you for this purpose.
Where you are a non-UK resident and do not have a suitable UK address available, we may apply to Companies House using form RP07 to request removal of our address from the company record.
Any replacement address details will be submitted to Companies House and will become publicly available as part of the company’s statutory records.
When you purchase a Registered Office Address Service, the service provides a mail forwarding facility for official correspondence from UK government authorities and court documents.
The service enables your company to meet its statutory obligations under section 86 of the Companies Act 2006.
A Registered Office Address Service does not provide a trading address and must not be used as the company’s principal place of business address, including for VAT registration purposes.
When you purchase a Director Service Address Service, the service provides mail forwarding for official government correspondence and court documents addressed to company officers.
The service allows company officers to meet their statutory obligations under section 1141 of the Companies Act 2006.
A Director Service Address Service does not provide a trading address and must not be used as the company’s principal place of business address for VAT registration purposes.
If payment for renewal of a Director Service Address Service has not been received by the renewal date, or if you fail to provide required identification documents, you authorise us to immediately update your service address to your residential address or another address previously provided by you.
The updated address information will be filed with Companies House and displayed publicly.
When you purchase a Business Address Service, we provide mail forwarding services for correspondence received from senders other than official government bodies and courts, which are covered under Registered Office and Director Service Address services.
A Business Address Service does not provide a trading address and must not be used as the company’s principal place of business address for VAT registration purposes.
Business Address Services include a scan and email forwarding facility.
Where bank cards or other valuable items are required to be forwarded outside the UK, these will be sent using Royal Mail International Signed or International Tracked services, depending on availability in the destination country.
Applicable postal charges will be payable by you.
Each company using our Business Address Service may register a maximum of one additional trading name.
Any trading name must not:
Mail received using an unauthorised trading name may be returned to sender.
Where parcels are received for forwarding outside the UK, you authorise us to open the parcel solely for the purpose of assessing the approximate value of its contents and completing the required customs documentation.
Where we are unable to determine the value accurately, we may request this information from you before forwarding the parcel.
You confirm that all information provided regarding parcel contents will be accurate, complete, and not misleading, and that the contents are lawful in both the UK and the destination country.
If we do not receive the required information within 30 calendar days, the parcel may be returned to sender.
The Company Assist Compliance Service is provided on a 12-month subscription basis (“Initial Term”).
At the end of the Initial Term, the service will automatically renew for a further 12-month period (“Renewal Term”) unless either party provides written notice to terminate before the expiry of the current subscription period.
Where the Compliance Service ends or is not renewed, Company Assist will:
25.1.1 provide written confirmation that the service has ended; and
25.1.2 provide an electronic copy of any company registers held by Company Assist, where specifically requested by the customer within one month of termination or expiry.
The annual Company Assist Compliance Service may include:
25.2.1 access to the Company Assist business document template library;
25.2.2 preparation and submission of one annual confirmation statement for the company to Companies House;
25.2.3 access to GDPR compliance resources and documentation;
25.2.4 discounted rates on selected Company Secretarial Services purchased separately; and
25.2.5 maintenance of statutory company records and registers, including where applicable:
The annual fee for the Company Assist Compliance Service will be displayed at the point of purchase and is payable in advance.
The Compliance Service provided by Company Assist does not remove or replace the legal duties and responsibilities of company directors or LLP members under the Companies Act 2006.
Directors and LLP members remain responsible for ensuring that all company records, filings and statutory information remain accurate and complete.
By subscribing to the Compliance Service, you agree that you must notify Company Assist promptly of any changes affecting your company, including changes requiring updates to statutory registers or Companies House records.
Company Assist will not be responsible for delays, errors or additional work caused by incomplete, inaccurate or outdated information supplied by you.
Where additional work is required due to incorrect information or failure to notify Company Assist of relevant changes, additional charges may apply.
Where Company Assist requires further information, documentation or action from you in order to provide the service, we will notify you as soon as reasonably possible.
Although Company Assist may provide reminders regarding filing deadlines and compliance requirements, you remain responsible for ensuring that all required documents are submitted to Companies House, HMRC or any other relevant authority within the required timescales.
Company Assist accepts no responsibility for determining your filing obligations or the information contained within submissions unless specifically agreed as part of a separate service.
You agree to provide Company Assist promptly with all information and documentation required to complete filings, maintain company records and provide the Compliance Service.
Company Secretarial Services will be charged at the rates displayed on the Company Assist website or agreed at the time of purchase.
Company Assist provides standard-form documentation prepared using our approved templates.
We do not provide bespoke legal drafting services unless expressly agreed separately.
Where documents are prepared as part of a Company Secretarial Service, they may be issued electronically for signature using electronic signing platforms.
By purchasing these services, you confirm that your company permits electronic execution of documents unless you notify us otherwise.
If Company Assist submits a Companies House filing on your behalf and Companies House rejects the application for any reason:
Where Company Assist prepares documentation relating to share transactions, electronic copies of executed share certificates or membership certificates will be provided.
We recommend that customers retain secure copies of all company documentation.
You agree to indemnify Company Assist, its employees, officers and representatives against losses, costs, claims, penalties, fines, expenses or liabilities arising from:
25.15.1 failure by company directors or LLP members to comply with their legal obligations; or
25.15.2 failure to provide Company Assist with accurate and timely information required for filings or company maintenance.
This indemnity will not apply where the loss directly results from Company Assist’s negligence, fraud or deliberate misconduct.
Company Assist will use reasonable efforts to provide customers with an appropriate regional or national telephone number.
You are responsible for ensuring that any forwarding telephone number supplied to Company Assist is correct and remains operational.
Business Telephone Services must not be used for unlawful, fraudulent, abusive, defamatory or harmful purposes.
Company Assist reserves the right to suspend or terminate the service immediately where misuse is suspected.
Telephone services may rely on external telecommunications or VoIP providers.
Company Assist does not guarantee uninterrupted availability or performance of third-party networks and accepts no liability for failures caused by such providers.
Customers located outside the UK may incur additional call forwarding charges based on applicable telecommunications provider rates.
Business Telephone Services are subject to fair usage limits.
Where usage exceeds reasonable limits, Company Assist reserves the right to apply additional charges.
While Company Assist aims to provide reliable telephone services, we cannot guarantee uninterrupted availability.
Temporary interruptions may occur due to maintenance, technical issues, network failures or circumstances outside our control.
